1. Parties and acceptance
These Terms and Conditions (the “Terms”) govern the use of the FARO Markets service, available at faromarkets.com and in its application (the “Platform”), operated by Gabriel Salloum, an individual engaged in business activity, with an address for hearing and receiving notices in Cancún, Quintana Roo, Mexico, email contacto@faromarkets.com (“FARO Markets” or the “Provider”).
By creating an account, checking the acceptance box, or using the Platform, you accept these Terms, the Risk Disclosure and the Privacy Notice, which form an integral part of this agreement. If you do not agree, do not use the Platform. FARO Markets keeps electronic evidence of your acceptance (date, time, IP address, and version accepted).
2. Definitions
- User: the individual who creates an account and uses the Platform.
- List: the assets the User chooses to follow (stocks, funds, metals, crypto assets, or others available).
- Report: the document automatically generated by the Platform for a List or an On-Demand Query on a given date, with a summary, overview, analysis by asset, suggestions, and events to watch.
- Suggestion: the label (buy, sell, hold, or avoid), conviction level, time horizon, reasons, and risks that the engine generates for each asset. It is an automated output of a general and informational nature; it is not an instruction or an individualized recommendation.
- Positions: the portfolio data that the User, on an optional basis, records or imports to give context to the analysis.
- On-Demand Query: the analysis of a specific asset that the User requests at a given moment, whether or not it is in the Platform’s catalog, with the maximum cost shown before confirming.
- License: the monthly subscription that gives access to the Platform.
- FARO Tokens: the internal unit used to measure the consumption of each analysis.
- Beta: the private trial period, additionally governed by the Beta Terms.
3. Nature of the service: what it is and what it is not
3.1. FARO Markets is an automated market analysis service. It gathers public data on prices, indicators, news, and macroeconomic signals, processes it with artificial intelligence, and delivers periodic Reports on the User’s List and, on request, on specific assets through On-Demand Queries, for exclusively informational and educational purposes.
3.2. FARO Markets is not investment advice and does not issue individualized recommendations. The Provider is not an investment adviser registered with the Comisión Nacional Bancaria y de Valores (National Banking and Securities Commission, “CNBV”), nor a securities market intermediary, nor a financial entity, nor a financial technology institution. There is no adviser-client, fiduciary, or portfolio management relationship between the Provider and the User.
3.3. FARO Markets does not execute transactions, does not hold money, securities, or crypto assets in custody, does not receive funds from the User to invest them, and has no access to the User’s investment accounts except, where applicable, in read-only mode to import Positions.
3.4. The Reports do not take into account the User’s overall financial situation, objectives, time horizon, risk tolerance, or tax situation. The only exception is the Portfolio Diagnostic (clause 6.9), which uses the Positions and the investor profile declared by the User exclusively to describe the User’s portfolio. Neither the Portfolio Diagnostic nor the recording of Positions turns the analysis into personalized advice or replaces the opinion of a registered investment adviser.
3.5. Every decision to invest, divest, or refrain is solely the User’s, who makes it at the User’s own discretion and responsibility. The User acknowledges having read the Risk Disclosure.
4. Eligibility and restricted jurisdictions
4.1. Only individuals over 18 years of age with the legal capacity to enter into contracts may use the Platform.
4.2. The Platform is offered from Mexico and is not directed at, or available to, persons who reside or are located in the following restricted jurisdictions: the United States of America and its territories; the member states of the European Economic Area; the United Kingdom; Switzerland; and any country or territory subject to comprehensive international sanctions. The Provider may modify this list.
4.3. The User declares their country of residence upon registration, warrants that the information is truthful, and undertakes to report any change. FARO Markets may suspend or cancel the account of anyone who resides in a restricted jurisdiction or has declared false information.
4.4. If the User resides outside Mexico in a jurisdiction that is not restricted, the User acknowledges that FARO Markets is not registered with any financial regulator of the User’s country and that it is the User’s responsibility to verify that use of the service is lawful under local law.
5. Account and security
5.1. The User provides truthful and up-to-date information, maintains a single account, and uses it personally. The account is non-transferable.
5.2. The User is responsible for the confidentiality of their credentials, two-factor authentication codes, and backup codes, as well as for all activity carried out from their account. The User must immediately notify contacto@faromarkets.com of any unauthorized access.
5.3. FARO Markets notifies each sign-in from a new device and allows the User to review and sign out connected devices. The User must review these notices.
6. License, FARO Tokens, and prices
6.1. License. Access to the Platform requires a monthly License priced at $199.00 MXN plus VAT (Impuesto al Valor Agregado, “IVA”) ($230.84 MXN with VAT). It renews automatically each month until the User cancels it in accordance with clause 7.
6.2. FARO Tokens. Each analysis consumes FARO Tokens according to the number of assets in the List, the frequency, and the depth of the analysis. FARO Tokens:
- are an internal unit of measurement of consumption, not money, a means of payment, electronic payment funds, value, or a virtual asset within the meaning of the Ley para Regular las Instituciones de Tecnología Financiera (Law to Regulate Financial Technology Institutions);
- have no value outside the Platform, do not earn interest, and are not transferable between accounts or redeemable for cash;
- are purchased in packages (starting at $50.00 MXN plus VAT) at a rate of 1,000 tokens for $0.10 MXN plus VAT, or are received as a courtesy in promotions or in the Beta.
6.3. Cost transparency. Before each analysis is confirmed, the Platform shows the tokens it will consume and their equivalent in pesos. If the balance is insufficient, the analysis is not run and the User is directed to the top-up center; in the case of a scheduled analysis, the Platform instead delivers a basic report, without artificial intelligence and without suggestions (price, daily change, and trend of each asset), which consumes no tokens. If a scheduled analysis is not delivered for a reason attributable to the Platform, no tokens are consumed or they are returned to the balance.
6.4. Balance validity. Purchased FARO Tokens do not expire while the account is active. Courtesy FARO Tokens expire on the date indicated in the promotion or when the Beta ends, and are non-refundable.
6.5. Price changes. FARO Markets may modify the price of the License, of the packages, or the token consumption per analysis with at least 15 calendar days’ notice by email and on the Platform. The changes do not affect tokens already purchased or the License period already paid. The User may cancel before the change takes effect.
6.6. Invoicing. FARO Markets issues a digital tax receipt (CFDI) at the User’s request using the tax information the User provides.
6.7. Beta. During the Beta, access is free and no charge is made. Charging is activated only upon prior notice and the User’s express acceptance.
6.8. On-Demand Queries. The User may request the analysis of a specific asset, whether or not it is in the Platform’s catalog. Before confirming, the Platform identifies the asset, verifies that sufficient price data exists, and shows the maximum cost of the query in FARO Tokens and its equivalent in pesos with VAT. In addition:
- the quote is valid for 15 minutes and is confirmed only once;
- the actual consumption of the analysis is deducted, which never exceeds the maximum cost shown;
- queries on assets that are not part of the catalog carry a surcharge on actual consumption, indicated in the quote before confirming;
- if the analysis is not completed or does not reach a conclusion due to insufficient information, no tokens are deducted;
- the Platform does not quote assets without reliable data (price history, recent trading, liquidity, or a recognized price source);
- to identify an asset from a free-form description, the Platform may use artificial intelligence; the result is verified against market sources before being displayed;
- the User may add the queried asset to their List, and that asset is visible only to the User; and
- the On-Demand Query has the same informational nature as the other Reports (clause 3) and does not constitute a recommendation regarding the requested asset.
6.9. Portfolio Diagnostic. The User may record their Positions (asset, quantity or amount and, optionally, purchase price) and an investor profile (risk tolerance, time frame, and objective) to obtain a diagnostic of their portfolio. In addition:
- the diagnostic describes the portfolio: value at recent prices, weight of each position, concentration, breakdown by asset type, market, sector, and currency, volatility estimated from the latest sessions, positions that move in a similar way, and its comparison with published reference ranges for the declared profile;
- the diagnostic does not indicate what to buy, sell, reduce, or increase, does not propose an allocation of the User’s wealth, and does not constitute investment advice or a personalized recommendation;
- the figures are calculated with fixed rules from public market data that may be delayed; the wording is produced by an artificial intelligence and, if it does not pass the Platform’s controls, a rule-based reading is delivered;
- the License includes one portfolio diagnostic per calendar month, of up to 25 Positions, with no deduction of FARO Tokens; it renews on the 1st day of each month and is not cumulative. Additional diagnostics, or those of portfolios with more Positions, show before being generated the maximum cost in FARO Tokens and its equivalent in pesos with VAT; the actual consumption is deducted, which never exceeds that maximum, and nothing is deducted if the reading is delivered by rules;
- the Positions, amounts, and profile are processed with the User’s express consent in accordance with the Privacy Notice, are stored encrypted, and the User may modify or delete them at any time; and
- the accuracy of the recorded Positions is the User’s responsibility.
7. Payments, cancellation, and refunds
7.1. Payments are processed through Stripe. FARO Markets does not store card data.
7.2. Cancellation. The User may cancel the License at any time from their account or by writing to contacto@faromarkets.com. Cancellation takes effect at the end of the current monthly period, with no further charges. No pro rata refunds are made for the unused period, except as provided in 7.3.
7.3. Right of revocation. In accordance with the Ley Federal de Protección al Consumidor (Federal Consumer Protection Law, “LFPC”), the User may revoke the purchase of the License within 5 business days following the first purchase, with a full refund, provided that no paid Report has been delivered. With respect to token packages, the User may request, within 5 business days following the purchase, a refund of the unconsumed portion.
7.4. Failures attributable to FARO Markets. If the Platform does not deliver the contracted Reports for a reason attributable to the Provider for more than 5 consecutive calendar days, the User may request a pro rata refund of the License for that period.
7.5. Refunds are made through the same payment method within a maximum of 15 business days.
7.6. The User retains the inalienable rights granted by the LFPC and may go to the Procuraduría Federal del Consumidor (Federal Consumer Protection Agency, “PROFECO”).
7.7. Unprocessed payment. If the License renewal cannot be charged, the payment gateway retries the charge for a maximum of 7 calendar days after the end of the paid period. Access is maintained during the first 3 days of that period; after that, analyses are suspended and scheduled reports are paused. If the charge succeeds within the 7 days, access and reports resume. If not, the renewal is canceled, the pending charge is voided, and no subsequent charges are made; to continue, the License must be purchased again. Retries are also suspended upon cancellation of the License.
8. Permitted and prohibited use
8.1. The Platform and the Reports are for the User’s personal use. The following are prohibited:
- reselling, sublicensing, redistributing, or publishing the Reports, in whole or in part, as one’s own service or that of third parties;
- using the Reports to advise third parties in exchange for consideration;
- sharing the account, extracting data in an automated manner, reverse engineering, or interfering with the security of the Platform;
- using the Platform for unlawful activities, including transactions with funds of illicit origin or market manipulation;
- entering false information or impersonating another person.
8.2. FARO Markets may suspend or cancel the account in the event of a breach, with notice to the User and a refund of purchased tokens not consumed, unless the breach is serious or willful.
9. Content generated by artificial intelligence and third-party sources
9.1. The Reports are generated by automated systems without human review prior to delivery. They may contain errors, omissions, incorrect interpretations of news, outdated data, or unverified statements.
9.2. Market data, news, and signals come from third parties and may be delayed, interrupted, or have incomplete coverage. FARO Markets does not guarantee their accuracy, timeliness, or completeness. When a data point is not available, the Report indicates it.
9.3. The conviction level and the labels of each Suggestion are outputs of the model, not guaranteed probabilities or instructions.
9.4. The hit-and-miss tracking shown by the Platform is historical, is calculated against market prices at 24 hours, 7 days, and 30 days, does not include commissions, taxes, or slippage, and does not predict future results.
9.5. FARO Markets does not receive payments, commissions, or incentives from issuers, brokers, crypto asset platforms, or data providers for the content of the Suggestions.
10. Intellectual property
10.1. The Platform, its code, design, the FARO Markets brand, the slogan “Clarity before action,” the Reports, and their structure are the property of the Provider or its licensors. The User receives a limited, personal, revocable, and non-transferable license to use the Platform and the Reports in accordance with these Terms.
10.2. The List, the Positions, and other information that the User enters are the User’s property. The User grants the Provider the license necessary to process them for the purpose of providing the service, in accordance with the Privacy Notice.
10.3. Suggestions, comments, or ideas that the User submits about the Platform may be freely used by the Provider without any obligation of compensation or confidentiality.
10.4. The names, trademarks, and logos of third parties (issuers, funds, indices, and crypto assets) belong to their respective owners and are displayed solely to identify the asset analyzed. Their use does not imply affiliation, sponsorship, or endorsement by FARO Markets or by those owners. If you are an owner and wish for us to remove a logo, write to us at contacto@faromarkets.com and we will do so promptly.
11. Availability, changes, and suspension of the service
11.1. FARO Markets endeavors to deliver each Report on time at the chosen frequency, but does not guarantee uninterrupted availability. There may be maintenance, provider interruptions, or failures.
11.2. In the event of a security incident, the Provider may temporarily freeze the Platform. The Provider will inform the User as soon as reasonably practicable.
11.3. The Provider may modify, add, or remove features. If it removes an essential contracted feature, it will give 15 calendar days’ notice.
11.4. If the Provider decides to terminate the service, it will give at least 30 calendar days’ notice, will refund purchased tokens not consumed and the pro rata portion of the License, and will allow the User to download their Reports during that period.
12. Limitation of liability
12.1. To the extent permitted by applicable law, the Provider is not liable for: (i) the User’s investment decisions or their results; (ii) loss of capital, lost profits, loss of opportunity, or indirect damages; (iii) errors, delays, or omissions in third-party data or in the Reports; (iv) service interruptions not attributable to willful misconduct or gross negligence of the Provider; or (v) acts of third parties, including brokers, crypto asset platforms, or data providers.
12.2. The Provider’s total liability to the User for any cause is limited to the amount actually paid by the User in the 12 months preceding the event giving rise to it.
12.3. Nothing in these Terms limits liability for willful misconduct or gross negligence, or the inalienable rights that the LFPC grants to the User.
13. Indemnification
The User shall indemnify and hold the Provider harmless against third-party claims arising from use of the Platform in violation of these Terms, from false information provided by the User, or from the use of the Reports to advise third parties.
14. Termination
14.1. The User may close their account at any time from the Platform or by email.
14.2. The Provider may cancel the account for breach of these Terms, for residing in a restricted jurisdiction, at the request of an authority, or for termination of the service in accordance with clause 11.4.
14.3. Upon closing the account, access to the Platform and the Reports ceases, the renewal of the License is immediately canceled, and any pending charge is voided, with no pro rata refund of the current period except as provided in 7.3 and 7.4. Courtesy tokens expire. Purchased tokens not consumed are refunded when the closure is for a reason attributable to the Provider or in accordance with clause 7. Data is processed in accordance with the Privacy Notice.
15. Modifications to the Terms
The Provider may modify these Terms. Changes are published at faromarkets.com/terminos with a new version and date, and are notified by email and on the Platform at least 15 calendar days in advance. The User may cancel before they take effect; continued use implies acceptance. Changes affecting prices, essential features, or the User’s rights require express acceptance at the next sign-in.
16. Communications
Notices to the User are made to the registered email address and within the Platform. Notices to the Provider are sent to contacto@faromarkets.com. The User is responsible for keeping their email address up to date.
17. Governing law and jurisdiction
These Terms are governed by the federal laws of the United Mexican States. For any dispute, the parties submit to the competent courts of Cancún, Quintana Roo, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile. The foregoing does not limit the User’s right, as a consumer, to go to PROFECO, nor the inalienable rights that the User’s local law recognizes.
18. General provisions
18.1. If any clause is declared null, the others remain valid.
18.2. The User may not assign their rights or obligations. The Provider may assign them to a company that continues operating FARO Markets, with notice to the User.
18.3. These Terms, the Risk Disclosure, the Privacy Notice and, during the Beta, the Beta Terms, constitute the entire agreement between the parties.
18.4. The Spanish version prevails over any translation.
18.5. Neither party is liable for breaches caused by acts of God or force majeure.
